Baker Tilly provided comprehensive legal and tax advice to EnBW Energie Baden-Württemberg AG on the divestiture of CWS Connected Wind Services Danmark A/S and CWS Connected Wind Services France SAS.
Baker Tilly advised EnBW Energie Baden-Württemberg AG (EnBW) on the divestiture of its wholly owned subsidiaries CWS Connected Wind Services Danmark A/S (CWS Danmark) and CWS Connected Wind Services France SAS (CWS France).
An international Baker Tilly team led by Alexandra Sausmekat, Legal Partner in the Dortmund office, delivered integrated legal and tax advice and coordinated local counsel in France and Denmark. Baker Tilly Germany acted as central coordination hub, ensuring a consistent advisory approach across both transactions.
Baker Tilly Germany: Alexandra Sausmekat, Partner — Lead, Corporate/M&A, Energy, Tax (Dortmund); Michelle Reddiar, Senior Manager — Energy (Düsseldorf)
Legal and tax advice in Denmark was provided by Baker Tilly Legal Advokatfirma and Baker Tilly Denmark, led by Thomas Grue Baruch, Partner. Legal advice in France was provided by Oratio Avocats, led by Benoît Brossard, Partner, Corporate & Commercial.
“These transactions highlight Baker Tilly’s international advisory capabilities in the energy and infrastructure sector and the strength of our cross-border collaboration across the Baker Tilly network. I would like to thank both EnBW and all the Baker Tilly colleagues involved for the excellent cooperation,” said Alexandra Sausmekat.
CWS Danmark, based in Skødstrup near Aarhus, and CWS France, based in Dijon, are renewable energy service providers specializing in the operation and maintenance of onshore wind turbines. CWS Danmark was acquired by Denmark-based Eurowind Energy A/S, which earlier this year also acquired EnBW’s Swedish renewables platform. CWS France was divested through a management buy-out.
The divestitures are part of EnBW’s ongoing strategic refocusing on its core markets, channeling resources into the expansion of renewable energy and energy infrastructure in Germany. In July, EnBW announced the sale of its Swedish renewables platform. Baker Tilly coordinated the tax advice for EnBW on that transaction as well.
Both transactions are subject to customary regulatory approvals. Financial terms were not disclosed.
About EnBW
EnBW is one of the largest energy companies in Germany and Europe, with approximately 31,500 employees serving around 5.5 million customers. Active across the full energy value chain — from generation and trading to grid operation and retail supply of electricity, heat and gas — EnBW is investing up to EUR 50 billion by 2030 (approximately 85% in Germany) as it transitions to a sustainable infrastructure company. The group targets 80% renewable generation by 2030 and net-zero Scope 1 and 2 emissions by 2040.
About CWS Danmark
CWS Connected Wind Services Danmark A/S manages a service portfolio of more than 960 wind turbines with a total installed capacity of approximately 800 MW and employs 98 people.
About CWS France
CWS Connected Wind Services France SAS operates from service hubs in Dijon, Amiens, Chartres, Châlons and Le Creusot, servicing approximately 100 wind turbines with a total installed capacity of around 200 MW and employing 38 people.
