Sustainable Future Secured for Legacy Furnace Builder Following Insolvency

Baker Tilly has implemented a sustainable going-concern solution for ELIOG Industrieofenbau GmbH (“ELIOG”), based in Thuringia, through an international investor process. ELIOG is a specialist provider of custom-engineered industrial furnaces and heat treatment systems, developing and manufacturing thermal process solutions for demanding industrial applications—particularly in mechanical engineering, the automotive industry, and wind turbine manufacturing.

Under an asset deal, ELIOG GmbH—an acquisition vehicle of the R&R Beth Group—has acquired the business operations along with all employees. R&R Beth is an alliance of technology companies with locations in Germany, Poland, Romania, and the USA. The group’s core competencies lie in industrial exhaust air and process gas purification, filter technology, energy storage, and plant engineering.

Due to an acute crisis, provisional debtor-in-possession proceedings were ordered over the assets of ELIOG Industrieofenbau GmbH in May of this year. The formal opening of the debtor-in-possession insolvency proceedings took effect on August 1, 2026. Attorney Dr. Nicolai Fischer of the law firm Grub Brugger was appointed as court-appointed supervisor. The debtor-in-possession proceedings were managed by authorized representative Dirk Eichelbaum and interim CEO Stefan G. Mairiedl.

Silvan Drasch, Director at Baker Tilly and project lead for the investor process, commented: “The close collaboration between the debtor-in-possession management, the court-appointed supervisor, and Baker Tilly formed the foundation for creating the conditions for a sustainable investor solution within just eight weeks.”

The restructuring team and the Baker Tilly M&A team led by Dr. Andreas Fröhlich, Head of Corporate Finance, consider ELIOG and the Römhild site well-positioned for the future following the acquisition by R&R-Beth Group. This provides a strong foundation for the continued development of the 102-year-old company.

Baker Tilly’s Corporate Finance team manages international investor processes on both the buy-side and sell-side. As an exclusive M&A advisor on the sell-side and a leading distressed M&A advisor, the team has successfully completed over 200 transactions in special situations.
