Insolvency administrators jointly sell Vistafon Group

The insolvency administrators of Vistafon Group have been able to implement a going-concern solution: Vistafon GmbH and Vistafon Consulting GmbH will be jointly taken over by MVC Mobile VideoCommunication GmbH.

Insolvency administrators Dr. Alexander Fridgen (Baker Tilly) and Hans-Wilhelm Goetsch (BGP Insolvency Administrators) are jointly selling the Vistafon Group out of insolvency: As part of an asset deal, MVC Mobile VideoCommunication GmbH (“MVC”) is acquiring both Munich-based Vistafon GmbH and Mainz-based Vistafon Consulting GmbH. Key customer relationships and the majority of jobs have been retained. 

Companies wanted to merge – delays led to insolvency 

Prior to the initiation of insolvency proceedings, there were plans to merge the Vistafon companies, expand the shareholder base, and strengthen liquidity, following years of extensive cooperation between the companies. However, as the implementation of the merger was delayed, insolvency proceedings had to be initiated for both companies. 

Attorney-at-law and Baker Tilly partner Dr. Alexander Fridgen (for Vistafon GmbH) and attorney-at-law Hans-Wilhelm Goetsch (for Vistafon Consulting GmbH) were appointed as provisional insolvency administrators. 

Successful distressed transaction: Transferring restructuring of both businesses 

Since the commencement of insolvency proceedings, Dr. Fridgen and Goetsch have worked closely together to preserve restructuring opportunities for both companies. Both insolvency administrators jointly commissioned an M&A team led by Dr. Andreas Fröhlich, Partner and Head of Corporate Finance at Baker Tilly, to sell the two businesses. 

With MVC, a joint buyer was finally found for both companies. Immediately after the formal opening of insolvency proceedings, which took place for both companies on October 31, 2025, both businesses were transferred to the buyer.

The transaction also creates real added value for the new investors – they can now integrate the Vistafon companies into their group using the restructuring instruments available under insolvency law," says Dr. Alexander Fridgen.
