Baker Tilly advises Sekisui Kasei on sale of Proseat to Brose Sitech

Interdisciplinary Baker Tilly Team supports international transaction

The international consulting firm Baker Tilly has successfully advised the Japan-based company Sekisui Kasei Co., Ltd. on the sale of six Proseat Europe GmbH subsidiaries, to Brose Sitech Foam GmbH. Proseat Europe GmbH is one of the leading manufacturers of polyurethane foam components for the automotive industry. Brose Sitech Foam is a wholly owned subsidiary of Brose Sitech Sp. z o.o., a leading automotive supplier headquartered in Poland.

An interdisciplinary team from Baker Tilly Germany provided Sekisui Kasei with comprehensive support. Frank Stahl accompanied the structured sell-side advisory process with the preparation of the factbook, supported by Florian Corzilius, Frederic Lingier, and Moritz Fischer. Tax advisory was provided by Uwe Roth and Stefan Lehner.

The transaction was finalized on June 12 with the signing of a purchase agreement between Sekisui Kasei and Brose Sitech. Completion remains subject to merger control approval by the European Commission and other customary closing conditions.

Through this divestiture, Sekisui Kasei is strategically refocusing on its core business activities and long-term growth objectives. Despite a challenging market environment, Proseat is well-positioned to continue developing its business in a forward-looking manner under new ownership.
