Baker Tilly advises Dunapack Packaging on the acquisition of German corrugated packaging plants from Stora Enso

Interdisciplinary Baker Tilly team advises strategic transaction in the packaging sector.

The international advisory and auditing firm Baker Tilly has advised Dunapack Packaging, part of the Austrian Prinzhorn Group, on the acquisition of German corrugated packaging plants from Stora Enso. Baker Tilly supported the transaction with integrated tax and financial expertise across all phases of the process. 

“The successful acquisition highlights the value of an interdisciplinary advisory approach. Through the close coordination of tax and finance due diligence and the connection to corresponding SPA advice, we were able to support Dunapack Packaging efficiently and in a highly targeted manner throughout the transaction,” said Uwe Roth, Partner at Baker Tilly. 

The transaction comprises Gaster Wellpappe, Wellpappe Sausenheim and PTI, with facilities located in south‑western Germany. Together, the companies employ around 350 people and generate revenues of approximately EUR 74 million in 2025. Completion of the transaction is subject to merger control clearance and is expected to take place in the course of 2026. 

An interdisciplinary Baker Tilly team led by Uwe Roth supported Dunapack Packaging with Tax Due Diligence (TDD), Financial Due Diligence (FDD) as well as with tax and financial SPA advisory services. 

With this acquisition, Dunapack Packaging further strengthens its presence in Germany while continuing to expand vertical integration across paper and corrugated packaging. The group is consistently pursuing its integrated business model strategy, thereby laying the foundation for further sustainable growth.
