Baker Tilly advises FUNKE Mediengruppe on acquisition of majority stake in digital agency baseplus®

Baker Tilly has once again advised FUNKE Digital on a transaction. In the acquisition of a majority stake in the online marketing agency Baseplus DIGITAL MEDIA GmbH, the Baker Tilly team provided support as part of the transaction advice, in particular with a financial and tax due diligence.

Baker Tilly continues to support FUNKE Mediengruppe’s digital division on its growth path: The acquisition of a majority stake in the renowned Viersen-based digital agency Baseplus DIGITAL MEDIA GmbH by FUNKE Digital is already the second transaction within a short period of time in which Baker Tilly’s tax and financial experts have been involved. The first time was at the beginning of the year where Baker Tilly supported the purchase of the online news portal gofeminin.de.

In the current deal, the advisory services comprised a financial and tax due diligence as well as further transaction advice. Baker Tilly Partner Christian Wegener and Manager Dr. Christiane Krüger were responsible for the tax part. In addition to the execution of the tax due diligence, tax consulting services also included the drafting and negotiation of the purchase agreement’s tax clauses.

As in the gofeminin deal, Baker Tilly Partner Nils Klamar, Director Daniel Zeiß and Assistant Manager Max Bracht once again ensured with their advice the smooth handling of the financial due diligence.

By acquiring a majority stake in baseplus®, FUNKE Digital is strengthening its position in the industry: The “FUNKE Digital Services” business cluster headed by Managing Director Alexander Rüben is thus on its way to becoming one of the leading providers of regional and industry-specific online marketing in Germany. baseplus® already offers individual e-commerce solutions in addition to web development, search engine marketing and social media marketing – new business areas are being planned.
