Baker Tilly advises Transdev GmbH on restructuring in North Rhine-Westphalia and Lower Saxony

A Baker Tilly team headed by lead partner Alexandra Sausmekat, Attorney-at-Law/Tax Advisor, advised Berlin-based Transdev GmbH on tax, legal and business management aspects of its rail operations’ restructuring in parts of North Rhine-Westphalia and Lower Saxony.

In addition to rail transport, this also included a maintenance and repair workshop for railroads operated by Transdev in the region. Within the course of this transaction, Germany’s second-largest provider of rail and bus services is also establishing Transdev Rhein Ruhr GmbH as a regional subsidiary.

For reasons of operational organization and sales, the operation of the two rail networks Niers-Rhein-Emscher-Netz and Emscher-Münsterland-Netz was transferred from NordWestBahn GmbH to the newly established Transdev Rhein Ruhr GmbH and the workshop operations to Transdev Instandhaltungs GmbH, based in Husum. Baker Tilly supported the participating Transdev GmbH companies in particular in the preparation and structuring of the documents required for the spin-off under reorganization law, the negotiations with the works councils and the implementation at employee level.

In addition to Alexandra Sausmekat (Tax), Director Marco Stahn, Attorney-at-Law, and Partner Jacob Keyl, Attorney-at-Law, (both Labor Law), Partner Dr. Steffen Knepper, Attorney-at-Law, and Senior Manager Bernd Conrad, Attorney-at-Law, (Corporate) were significantly involved in the engagement.

In North Rhine-Westphalia, Transdev GmbH will from now on operate through the new rail company Transdev Rhein Ruhr GmbH. From September 1, 2022, passengers will be trans-ported to their destinations on the lines in the Lower Rhine, Ruhr and Münster regions under the name RheinRuhrBahn. At the same time, the former NordWestBahn will only operate un-der this name in the northern states of Germany.
