Baker Tilly advises DEBA subsidiary on acquisition of Holzwerke Pfarrkirchen GmbH

Baker Tilly provided legal, tax and business advice to DEBA Vermögensverwaltung 1 GmbH, a subsidiary of Munich-based DEBA, on the acquisition of Holzwerke Pfarrkirchen GmbH.

With the acquisition of all shares, DEBA expands its portfolio at the beginning of the year with a future-oriented player in the growing market for sustainable timber construction products. Holzwerke Pfarrkirchen GmbH is a leading supplier of premium timber construction products. The company relies on a highly flexible production facility and high product quality in the manufacture of its solid structural timber (KVH®) and glulam and laminated beam (BSH) products. From 2019 to 2022, Holzwerke Pfarrkirchen was part of the Munich-based DUBAG Group.

In the course of the acquisition, Baker Tilly provided the buyer with full legal, tax and financial due diligence advice. Furthermore, the interdisciplinary team supported DEBA in the preparation of the sale and purchase agreement (SPA) and the other transaction agreements as well as the contract negotiations.
