Baker Tilly orchestrates structured investor process, secures going-concern sale and preserves all jobs at Schweinfurt site

Baker Tilly advised on a comprehensive going-concern solution for KLT Hummel Plastic GmbH (KLT) through a structured investor process. Krallmann Kunststoff Solutions GmbH, Hiddenhausen—a subsidiary of Precision Plastic Solutions GmbH (PPS), Darmstadt—acquired the business by way of an asset deal. All approximately 100 employees at the Schweinfurt site have been retained by the purchaser.

KLT is a mid-market manufacturer of complex injection-molded plastic components, specializing in sliding and bearing elements made from Slidertan®, the company’s proprietary trademarked material. KLT serves leading customers across the automotive, industrial, medical-technology and white-goods sectors.

Following a merger with a sister company that triggered unforeseeable costs, KLT filed for insolvency on February 23, 2026. Attorney Robert Wartenberg of CURATOR AG was appointed insolvency administrator. Formal insolvency proceedings were opened on May 1, 2026.

Working in close coordination with the insolvency administrator, Baker Tilly managed the entire sell-side M&A process end-to-end, from process management through to legal execution. The complex transaction was completed in approximately five months, closing on September 1, 2026.

The PPS Group is a specialist plastics injection-molding and toolmaking group comprising four German companies. KLT will operate going forward under the name Krallmann Kunststoff Solutions GmbH, strengthening the group’s market position in precision-engineered plastic components.

„We are delighted to have found a strategic partner for KLT Hummel in the PPS Group, which will continue the business in full at the Schweinfurt site, bringing outstanding injection-molding expertise,“ said Dr. Andreas Fröhlich, the lead Baker Tilly partner on the transaction. Silvan Drasch, who managed the day-to-day process for Baker Tilly, added: „The excellent cooperation with insolvency administrator Robert Wartenberg was key to the success of this transaction.“

The Baker Tilly Corporate Finance team was led by Dr. Andreas Fröhlich (Partner, Head of Corporate Finance) and Silvan Drasch (Director), supported by Julius Mauch.

The purchase agreement and ancillary transaction documents were drafted and negotiated by a Baker Tilly Legal team led by Stephan Zuber (Partner, Corporate/M&A), supported by Marco Stahn (Director, Employment Law), Sonja Dechansreiter (Senior Manager, Corporate/M&A) and Verena Lehner (Manager, Corporate/M&A).

The Corporate Finance team at Baker Tilly manages international investor processes on both the buy-side and the sell-side. As an exclusive sell-side M&A adviser and a leading distressed M&A advisor, the team has completed more than 200 transactions in special situations.
