Grigeo, a leading wood and paper industry company in the Baltic States, is acquiring Huchtemeier Papier GmbH, based in Dortmund. Baker Tilly provided comprehensive legal, tax, and financial advice on the transaction.

The international consulting and auditing firm Baker Tilly has provided comprehensive advice to the Lithuanian Grigeo Group AB on the acquisition of Huchtemeier Papier GmbH.

The Dortmund-based family business Huchtemeier Papier specializes in hygiene papers and offers a broad portfolio of raw materials, semi-finished products, and end products. With this acquisition, Grigeo is strengthening its market position in Central Europe and sustainably expanding its product range and supply chain in the hygiene paper sector.

An interdisciplinary Baker Tilly team led by lead partner Oliver Köster advised Grigeo on legal, tax, and financial matters, in particular on due diligence and the drafting of the share purchase agreement (SPA).

The international cooperation is also particularly noteworthy: Sergiusz Kielian, partner at Baker Tilly Legal Poland, who also established contact between Grigeo and Baker Tilly Germany, was involved in the due diligence for Grigeo. The transaction also underscores the growing importance of the Baltic Desk headed by Vilma Remmert-Fontes. Thanks to the Baltic Desk, Baker Tilly clients benefit from extensive experience in providing legal and strategic advice to Baltic companies as well as from extensive contacts in the Baltic states.

The Baker Tilly team on the German side consisted of:

  • Legal: Hamburg: Oliver Köster, LL.M. (Partner), Vilma Remmert-Fontes (Director), Philip Koch (Manager); Frankfurt am Main: Kerstin Weckert (Partner), Marco Stahn (Director); Düsseldorf: Bernhard Rehbein (Partner)
  • Tax: Matthias Chuchra, LL.M. (com.) (Partner), Nicola Kilian (Senior Manager, both Hamburg)
  • Financial: Nils Klamar, CFA (Partner, Head of Financial Deal Advisory), Daniel Zeiß (Director), Max Bracht (Senior Manager, all Frankfurt am Main)

As part of the transaction, Grigeo Hygiene UAB, a subsidiary of the Lithuanian Grigeo Group AB, acquired 100 percent of the shares in Huchtemeier Papier GmbH. Huchtemeier Papier will continue as an independent business unit, retaining the company's name and management. The transaction partners have agreed not to disclose the purchase price.
