Baker Tilly advises GESCO on the acquisition of ARKU Maschinenbau GmbH

An interdisciplinary Baker Tilly team provided comprehensive transaction advice to listed GESCO SE in connection with its acquisition of ARKU Maschinenbau GmbH.

Baker Tilly advised GESCO SE (“GESCO“), a listed industrial group comprising market- and technology-leading companies in the capital goods sector, on its acquisition of all shares in ARKU Maschinenbau GmbH (“ARKU”).

Led by Partner Nils Klamar, Baker Tilly supported GESCO on the transaction with an interdisciplinary M&A team. In addition to financial, legal and tax due diligence, Baker Tilly provided the industrial group with legal and tax support in the purchase agreement negotiations, and advised on antitrust and foreign investment control:

The transaction expands GESCO’s portfolio with an internationally active specialist in precision levelling machines, strip processing lines and deburring machines for industrial sheet-metal processing.

Based in Baden-Baden, ARKU operates worldwide, with locations in Germany, the United States and China. The company employs 189 people.

ARKU’s existing management will continue to lead the company’s development in the same roles under the GESCO Group. The parties have agreed not to disclose the purchase price.

Baker Tilly has advised GESCO SE for several years, most recently on the acquisition of Eckart GmbH and the partial divestment of the Dörrenberg Group.
