Baker Tilly and GreenGate Partners advise ADAC HEMS Academy and Airbus Helicopters on formation of joint venture for flight simulator training

The international consulting firm Baker Tilly and GreenGate Partners advised ADAC HEMS Academy on the formation of a joint venture for flight simulator training. The joint venture under the name “HMotion” is supposed to combine the best of both worlds: The flight data and know-how of Airbus as a leading helicopter manufacturer and the experience of ADAC Luftrettung as a world-renowned helicopter operator. Together, the two partners want to create the world’s most modern simulator training center for H135 and H145 helicopters. Following approval by the relevant regulatory authorities, the new joint venture will commence operations under the name HMotion on March 1, 2024.

The new joint venture offers a wide range of cost-effective training courses for helicopter staff, including mission and critical flight training. In a first stage, HMotion is going to integrate the full-flight simulators at Airbus Helicopters’ Donauwörth site and at ADAC HEMS Academy in St. Augustin near Bonn. In a second phase, all simulator activities are going to be relocated to a new, state-of-the-art training center in Oberpfaffenhofen near Munich from 2025. 

Baker Tilly and GreenGate Partners each provided comprehensive legal advice on the transaction and, in addition to structuring the joint venture, also drafted and negotiated all transaction agreements.
