As a bank, savings bank, financial services provider, capital management company and payment institution, as well as a company, investor or public authority, we will provide you with implementation-oriented advice and support on supervisory law and the challenges of regulatory compliance.

From our longstanding expertise as consultants with project experience and in the management of companies in the financial industry, we have extensive entrepreneurial experience and expertise in dealing with regulatory issues and in the structuring and implementation of financing.

We take our client’s perspective and develop solutions for them in the complex and regulated financial market. Understanding the business model, corporate structure and corporate orientation of our clients is what characterizes our advice.

Our services in regulatory law include, in particular, solution-oriented advice and effective project management in banking supervisory law (KWG) and the associated regulations, such as MaRisk (minimum requirements for risk management), as well as the German Investment Code (AIFMD) and the implementing provisions.

This also includes ongoing advice on regulatory obligations, support in licensing procedures for banks and capital management companies as well as the acquisition and sale of credit and financial services institutions. We advise foreign banks, capital management companies and companies on the licensing requirements for cross-border activities.

For companies that do not belong to the financial sector – such as those in the machine tool industry – we assess whether planned business models (such as sales financing) require approval and develop demand-oriented structures. We are able to provide comprehensive advice on start-up projects (banks and leasing and factoring companies). We can advise on and prepare the development of a strategy, business planning and the necessary license application in accordance with Art. 32 KWG. Even in the start-up phase, we can avoid unnecessarily long project terms.

We work with you to identify the relevant corporate governance and compliance requirements and support the company’s executive bodies in responsible corporate governance and avoiding liability.

We offer comprehensive advisory expertise in many areas of financing:

Borrowed capital
•    We support decision-makers with interdisciplinary advisory services for complex forms of financing, in particular acquisition financing and project financing. We are also well-versed in the field of municipal financing. In this regard, we offer our clients individual solutions for operator and PPP models.

•    We structure asset-based financing, e.g., in the areas of leasing, forfaiting and factoring. We are happy to help with sale-and-lease-back and lease-and-lease-back transactions as well as with the purchase and sale of larger leasing portfolios.

Equity/subordinated capital
•    The participation or exit of strategic and private equity investors in suitable targets is a key part of our advisory services in cooperation with our Transactions Competence Center. In the mezzanine area, we structure tailor-made solutions in the form of subordinated loans, profit participation rights, convertible bonds and bonds with warrants, as well as through the formation of silent partnerships. We prepare the feasibility analysis as well as the entire legal, tax and accounting concept and implement the structure.

Debt Capital Markets/Equity Capital Markets
•    Supporting our clients in accessing the debt capital market via bonds, Pfandbriefe (German covered bonds), debentures, derivatives and asset backed securities (ABS) is a particular focus of our advisory activities.

In addition to the participation of individual investors as shareholders, business angels or investment companies, we also offer our clients all interdisciplinary advisory services as a prerequisite for accessing the equity capital market by approaching a large number of investors in the context of initial public offerings (IPOs) or capital increases.

In capital market transactions, our advice covers the entire transaction, from the negotiation of contracts between issuers and banks, legal and financial due diligence (both buy-side and sell-side), the preparation of the prospectus and other transaction documents, assistance with the approval procedure by BaFin and the necessary procedures with the relevant exchange admission boards for the Prime Standard or the Open Market/Entry Standard. We also advise clients on delisting or switching to another stock exchange segment.
