DOCOMO Digital GmbH / net mobile AG

Acting as an independent expert auditor appointed by the Dusseldorf Regional Court (“Landgericht Düsseldorf”), Baker Tilly Roelfs were mandated to examine the adequacy of a cash compensation for the transfer of shares held by minority shareholders of net mobile AG to DOCOMO Digital GmbH pursuant to German Stock Corporation Act (so-called squeeze-out under the German Stock Corporation Act).

On February 25, 2016, DOCOMO Digital GmbH, Dusseldorf, informed the management board of net mobile AG, Dusseldorf, that it intended the transfer of the outstanding minority shares of net mobile AG as majority shareholder in return for an adequate cash compensation.

DOCOMO Digital GmbH holds more than 95 % of the shares in net mobile AG and thus the principal shareholder in the meaning of the German Stock Corporation Act (§ 327a Abs. 1 S. 1 AktG). The relevant resolution passed at general meeting of net mobile AG on June 30, 2016.

Net mobile AG is a leading provider of payment solutions and mobile value-added services whose main sales regions are Germany, other European countries and Japan. The services offered by net mobile are wide-ranging, including consulting, design, application, billing, data transport and technical implementation.

Its more than 500 customers include nationally and globally operating mobile operators and media companies.

The team led by Jochen Breithaupt and Michael Wahlscheidt, in its role as auditor of the valuation of net mobile AG, confirmed the adequacy of the cash compensation.
